These Terms of Service govern access to and use of Pythias. By using Pythias, you agree to these Terms.
Pythias is facilitator-only deal infrastructure. Pythias helps users document deal terms, coordinate consent-based verification, collect signatures, create deal records, and coordinate third-party escrow or payment workflows through licensed or specialized partners. Pythias does not hold, custody, pool, control, or move customer funds.
These Terms are a draft pending regulatory attorney review.
Eligibility
You must be at least 18 years old and able to enter legally binding agreements. You may use Pythias only for lawful purposes and only in compliance with these Terms.
What Pythias Does
Pythias may provide tools to:
- Create and store private deal records.
- Invite counterparties to a deal.
- Record party-entered deal terms.
- Collect electronic signatures.
- Coordinate first-party, consent-based verification through Plaid.
- Coordinate third-party escrow workflows through Escrow.com.
- Track escrow, payment, verification, signature, and deal status metadata.
- Send transactional emails through Resend.
- Store deal data using Supabase and host the app through Vercel.
- Generate draft documents, notices, templates, or workflow outputs based on user-entered information.
What Pythias Does Not Do
Pythias is not:
- A bank.
- An escrow company.
- A money transmitter.
- A lender.
- A broker-dealer.
- A credit bureau or consumer reporting agency.
- A debt collector.
- A law firm.
- A legal document preparation service.
- A tax, accounting, investment, or financial advisor.
Pythias does not provide legal advice, financial advice, tax advice, investment advice, credit repair, debt collection services, or escrow services.
Pythias does not hold or move customer funds. Where escrow is used, funds are handled by Escrow.com or another approved third-party provider. Where Pythias platform fees are charged, those fees may be processed by Stripe.
User Responsibility for Deal Terms
Users are responsible for the accuracy, legality, completeness, and enforceability of the deal terms they enter. Users should consult their own attorney before relying on any document, template, demand letter, promissory note, or legal-adjacent workflow generated or stored through Pythias.
Pythias does not decide whether a deal is fair, enforceable, collectible, compliant, or advisable.
No Legal Advice
Pythias may provide templates, prompts, summaries, draft promissory notes, demand letters, or other document outputs. These materials are informational workflow tools only. They are not legal advice, do not create an attorney-client relationship, and are not a substitute for review by a licensed attorney.
Users are responsible for having any legal document reviewed by qualified counsel before signing, sending, enforcing, or relying on it.
Verification
Pythias may support consent-based verification through Plaid or other providers. Verification results are based on information returned by the provider and user authorization. Pythias does not guarantee that verification results prove creditworthiness, legal capacity, fraud risk, collectability, or future performance.
Pythias does not perform consumer credit pulls at launch. Pythias does not provide consumer reports or eligibility reports to third parties.
Escrow and Payments
Escrow.com is a third-party provider. If users choose to use Escrow.com, they may be required to accept Escrow.com's terms, privacy policy, verification requirements, fee schedule, and transaction rules. Pythias is not responsible for Escrow.com's custody of funds, escrow decisions, payment timing, disbursement timing, or account requirements.
Stripe is a third-party payment processor. If Pythias charges platform fees through Stripe, Stripe may process payment information under Stripe's terms and privacy policy.
Pythias may store transaction IDs, payment status, escrow status, and related metadata to show workflow progress.
Accounts and Security
Users are responsible for maintaining the confidentiality of account credentials and for all activity under their accounts. Users must notify Pythias promptly if they believe their account has been compromised.
Prohibited Uses
Users may not use Pythias to:
- Violate any law, regulation, court order, or third-party right.
- Commit fraud, misrepresentation, identity theft, or unauthorized access.
- Create, fund, or enforce illegal transactions.
- Harass, threaten, defame, or abuse another person.
- Submit false, misleading, or unauthorized information.
- Use Pythias for consumer lending, credit reporting, debt collection, legal services, or regulated financial activity unless Pythias has expressly enabled that workflow after legal review.
- Interfere with the security, integrity, or availability of Pythias.
- Scrape, reverse engineer, or misuse Pythias systems.
Fees
Pythias may charge platform fees. Any fees will be disclosed in the product or in an order flow before payment. Third-party providers such as Escrow.com, Stripe, Plaid, or financial institutions may charge separate fees.
Electronic Signatures and Records
Users consent to use electronic records and electronic signatures in Pythias workflows. Users agree that electronic signatures may have the same legal effect as handwritten signatures where applicable law permits. Users are responsible for ensuring that electronic signature workflows meet their legal needs.
Third-Party Services
Pythias relies on third-party services, including Plaid, Escrow.com, Stripe, Resend, Supabase, and Vercel. Pythias is not responsible for third-party outages, errors, delays, security incidents, terms, policies, or decisions.
Disclaimers
Pythias is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Pythias disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
Pythias does not guarantee that any deal will close, that any counterparty will perform, that funds will be released, that a document will be enforceable, or that any verification result will prevent fraud or loss.
Limitation of Liability
To the fullest extent permitted by law, Pythias will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost opportunity, or business interruption.
Pythias total liability for any claim will not exceed the greater of the fees paid to Pythias by the user in the 3 months before the claim or 100 USD.
Some jurisdictions do not allow certain limitations, so some limits may not apply.
Indemnity
Users agree to defend, indemnify, and hold harmless Pythias and its owners, operators, affiliates, contractors, and service providers from claims, damages, liabilities, costs, and expenses arising from user-provided information, user-created deal terms, user misuse of Pythias, violation of these Terms, violation of law, or disputes with counterparties.
Suspension and Termination
Pythias may suspend or terminate access if a user violates these Terms, creates legal or security risk, misuses the platform, or if continued access would be unlawful or harmful.
Changes
Pythias may update these Terms. Updated Terms will be posted at https://pythias.app/terms with a new effective date.
Governing Law
Governing law, venue, arbitration, class waiver, and any Arizona-specific language are pending attorney confirmation.
